Rhythm Pharmaceuticals Inc (RYTM) Announces Pricing of Upsized Public Offering
BOSTON, July 10, 2025 — Rhythm Pharmaceuticals, Inc. (Nasdaq: RYTM), a biopharmaceutical company committed to improving the lives of patients with rare neuroendocrine diseases, has announced the pricing of its upsized public offering. The offering comprises 2,058,824 shares of common stock priced at $85.00 each.
Additionally, the underwriters have been granted a 30-day option to purchase up to 308,823 additional shares at the same public offering price, excluding underwriting discounts and commissions. This offering is poised to generate gross proceeds of approximately $175 million for Rhythm, prior to the deduction of expenses associated with the offering.
All shares in this offering are being offered by Rhythm itself, with an expected closing date on or about July 11, 2025, pending the satisfaction of customary closing conditions.
Morgan Stanley, BofA Securities, Stifel, and Wells Fargo Securities are serving as joint book-running managers for the offering, while Canaccord Genuity and Citizens Capital Markets are acting as lead managers.
This public offering is made under a shelf registration statement on Form S-3, which Rhythm filed with the Securities and Exchange Commission (SEC) and became effective upon filing on March 2, 2023.
