Wave Life Sciences Ltd. Announces Upsized Public Offering
Wave Life Sciences Ltd. (Nasdaq: WVE), a clinical-stage biotechnology company dedicated to advancing RNA medicines, has officially priced its upsized public offering of 15,789,475 ordinary shares. The shares will be offered to the public at a price of $19.00 each. Additionally, pre-funded warrants enabling the purchase of up to 2,631,578 ordinary shares are being offered at an offering price of $18.9999 per warrant, which reflects the ordinary share price minus a nominal exercise fee.
The company anticipates gross proceeds from this offering to be around $350 million, prior to the deduction of underwriting discounts, commissions, and offering expenses. Notably, all securities in this offering are being sold by Wave Life Sciences itself. Furthermore, the underwriters have been granted a 30-day option to acquire up to an additional 2,763,157 ordinary shares under identical terms.
The anticipated closing date for this offering is on or about December 11, 2025, subject to customary conditions. Jefferies, Leerink Partners, and BofA Securities are serving as joint book-running managers, while Truist Securities and Mizuho are acting as book-runners.
This offering is being executed solely through a prospectus, as part of a shelf registration statement previously filed with the Securities and Exchange Commission (SEC) that became effective upon filing. The preliminary prospectus supplement, along with the base prospectus, was filed with the SEC on December 8, 2025.
