On February 17, 2026, the Company’s wholly-owned subsidiary, TechForce Robotics, Inc., signed an Asset Purchase and Intellectual Property Assignment Agreement with Christopher Erpelding, securing complete ownership of all pre-existing intellectual property associated with the Beer Bot and its advanced BIM-E platform. This strategic move consolidates patents, source code, firmware, engineering documentation, AI models, trade secrets, and relevant technology assets under the Company's ownership, ensuring a clear chain of title for commercialization, regulatory compliance, and future strategic endeavors.

Performance-Based Founder Alignment
